Terms of Service

Legal terms governing your access to and use of the MMMX platform operated by MMMX SOLUTIONS COMPANY.

These Terms of Service (“Terms”) constitute a binding legal agreement between you and MMMX SOLUTIONS COMPANY (the operator of the MMMX software platform, websites, APIs, and related services, collectively the “Service”; “MMMX”, “we”, “us”, or “our”). If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. The Service

MMMX SOLUTIONS COMPANY provides, under the MMMX brand, cloud-based treasury, ledger, deal management, balance tracking, KYC workflow, and related operational tools for licensed Money Service Operators and similar businesses. The Service is a software tool only. MMMX SOLUTIONS COMPANY does not provide legal, tax, accounting, regulatory, or compliance advice. You remain solely responsible for your licensing obligations, AML/CTF programmes, record-keeping, reporting, and the accuracy of all data you enter or rely upon.

Features, limits, and availability may vary by subscription plan, configuration, and region. We may modify, suspend, or discontinue any part of the Service at any time as permitted under these Terms.

1.1 Treasury figures and “real-time” / “live” display. The Service may present balances, mark-to-market (MTM) totals, period profit/loss figures (including Today, Week, Month, and year-to-date), dashboard metrics, deal turnover or margin charts, and report summaries (collectively, “Operational Figures”). Marketing or in-product wording such as “real-time”, “live”, or similar describes an operational design goal: that core ledger positions are intended to be recalculated after qualifying entry-status events (for example, when an entry moves to or from a settled / DONE status) without relying solely on a scheduled end-of-day batch. Performance optimisations (including caching, checkpoint acceleration, and background cache warm-up) may be used to deliver those figures faster; they do not change that Operational Figures remain software estimates derived from Customer Content and Rate Data.

Such wording does not constitute a warranty, service-level agreement, uptime commitment, or guarantee that:

  • every screen, API response, export, chart, or notification will update instantly, simultaneously, or in a fixed maximum time;
  • figures shown in an open browser tab will always match the latest server state without a refresh, reconnection, or successful push delivery;
  • WebSocket, push, Redis, Celery, or other background delivery will be uninterrupted or available in all environments (including local development and degraded infrastructure);
  • cached, shared, or plan-limited views (including Total MTM or year-to-date displays that are cached or limited on certain subscription plans) will always equal a full live recalculation at the moment of viewing;
  • dashboard deal metrics (for example turnover or gross margin charts) measure the same thing as treasury MTM cards, or update on the same path; or
  • Operational Figures will be free of delay or temporary disagreement after multi-leg approvals, historical edits, imports, reconciliation, partial repair, FX rate changes, or third-party outages.

After historical or bulk ledger changes, the Service may display warnings and require an explicit recalculation or page reload so period figures realign. Nightly reconciliation and other batch tasks may also adjust figures to correct drift. You are solely responsible for verifying Operational Figures before making operational, credit, treasury, accounting, or regulatory decisions and for maintaining independent records and controls.

1.2 Exchange rates and FX reference data. MMMX helps you work with foreign-exchange (“FX”) rates across mark-to-market, treasury screens, reports, Shop TV, and similar features. The rates and timestamps shown (“Rate Data”) may come from:

  • third-party reference feeds (which may include authority-published or official reference sources republished through public APIs);
  • manual entry or override by authorised users in your workspace; or
  • calculation across currency pairs configured for your tenant.

Rate Data is indicative reference information — a working tool, not a dealing price, settlement instruction, or regulatory submission. Feeds can be delayed, rounded, or briefly out of date; labels such as “live” or “auto-fetch” describe intended behaviour, not a promise of real-time market accuracy. Before you quote, approve, settle, or report, please confirm figures against your desk, bank, correspondent, or other sources you rely on in normal course.

1.3 Service availability. We aim to keep the Service running reliably. Unless you have a separate signed service-level or enterprise agreement, we do not guarantee uninterrupted access or fixed recovery times. Section 11 explains how we approach outages, security events, and sensible backup practice.

2. Accounts and eligibility

You must provide accurate registration information and keep it current. You are responsible for all activity under your credentials and for configuring roles, permissions, and tenant access within your organisation. You must promptly notify us of unauthorised access.

You may not use the Service if you are barred under applicable law or if we have previously terminated your access for breach. Trial and paid subscriptions are offered subject to separate plan descriptions, checkout flows, and billing terms incorporated by reference.

3. Customer Content and data

“Customer Content” means data, files, and materials you or your users submit to or generate through the Service. You retain ownership of Customer Content. You grant MMMX SOLUTIONS COMPANY a worldwide, non-exclusive licence to host, copy, process, transmit, display, and otherwise use Customer Content solely to provide, secure, maintain, and improve the Service and as otherwise described in our Privacy Policy.

You represent and warrant that you have all rights necessary to provide Customer Content and that its use through the Service does not violate law or third-party rights. You are solely responsible for the accuracy, integrity, and regulatory suitability of Customer Content, including financial entries, balances, and KYC records.

3.1 Records and exports. You own Customer Content. The Service provides export and download features to help you keep copies, but regulated operators typically maintain their own books and recovery procedures as well. We encourage periodic exports and reconciliation backups that meet your licensing, audit, and business-as-usual requirements.

4. Acceptable use

You agree not to:

  • Use the Service for unlawful, fraudulent, or unauthorised purposes;
  • Attempt to access another tenant’s data or circumvent multi-tenant isolation, authentication, or access controls;
  • Probe, scan, or test vulnerabilities except with our prior written consent;
  • Interfere with or disrupt the Service, including through excessive automated requests, denial-of-service activity, or introduction of malware;
  • Intentionally flood, overload, or exhaust the Service or shared infrastructure — including (without limitation) bulk or automated document uploads, repeated OCR or image-processing jobs, import/export storms, WebSocket connection abuse, or any other high-volume activity designed to degrade performance or evade plan limits;
  • Reverse engineer, decompile, or attempt to derive source code except to the limited extent expressly permitted by applicable law notwithstanding this restriction;
  • Resell, sublicense, or provide the Service to third parties except as expressly authorised in writing by MMMX SOLUTIONS COMPANY;
  • Use the Service in any manner that could harm MMMX SOLUTIONS COMPANY, other customers, or the reputation of the platform.

We may investigate violations and cooperate with law enforcement. We may suspend or terminate access immediately for conduct we reasonably believe violates these Terms or creates risk to the Service or others.

4.1 Abuse, flooding, and no refund. Any intentional attempt to flood, overload, or exhaust the Service (including OCR, document uploads, imports/exports, APIs, or background jobs), or to circumvent usage limits, rate limits, or concurrent-processing controls, is a material breach. Where we reasonably believe such conduct has occurred or is imminent, we may — without prior notice — suspend or terminate the affected account, workspace, subscription, trial, or related contracts and services. In those cases, no refund, credit, or pro-rata rebate of prepaid fees is due, except where non-waivable law requires otherwise. We may also invoice for excess infrastructure cost reasonably attributable to the abuse and pursue other remedies under these Terms.

5. Software defects, errors, and unintended behaviour

5.1 Please report issues. Active software products evolve continuously and may occasionally behave in ways we did not intend (“Defects”). If you see results, calculations, access, quotas, or outputs that look wrong, please report them promptly so we can investigate and improve the Service. We welcome good-faith reports. Deliberate exploitation — for unauthorised access, fee avoidance, plan-limit evasion, or similar advantage — is not permitted.

5.2 How we handle fixes. We may correct, patch, or adjust Defects as part of normal product work, sometimes with limited notice. When a Defect is fixed, behaviour should match the intended design. Corrections do not automatically entitle you to refunds, credits, or damages solely because earlier behaviour was wrong, except where non-waivable law or another express provision in these Terms requires otherwise.

5.3 Features and plan entitlements. If a capability appeared only because of a Defect and is part of a higher tier, add-on, or paid feature under our published plans, the corrected behaviour may require the appropriate subscription or purchase. This does not affect features already included in your current plan.

5.4 Serious misuse. Where we reasonably believe you knowingly exploited a Defect, we may suspend or terminate access, invoice applicable fees, recover amounts improperly avoided, or pursue other remedies under these Terms. Knowing exploitation is treated as a material breach.

6. Subscription plans, features, and service adjustments

6.1 Plan descriptions. Published plan names, feature lists, quotas (including user seats, import/export limits, screening credits, storage, API usage, and similar entitlements), and pricing describe the Service at the time of publication. Plan materials are illustrative and do not constitute a guaranteed service-level commitment unless expressly set out in a separate signed enterprise agreement.

6.1A Technical and capacity limits. We may set, change, or temporarily tighten technical limits for all or part of the Service at any time, with or without individual notice, to protect platform stability, security, fair use, and other customers. Such limits may include (without limitation): OCR and document-scanning concurrency or daily volume; maximum file size, page count, resolution, or type for uploads; import/export row counts and job frequency; API and WebSocket connection rates; storage retention; and similar resource controls. Limits may differ by plan, region, environment, or risk signal. Exceeding a limit may result in throttling, queueing, rejection of requests, temporary feature disablement, or the remedies in Section 4.1 where abuse is involved. Published numbers are guidance as of the date stated and may change.

6.2 Usage analysis and plan changes. MMMX SOLUTIONS COMPANY may, from time to time, analyse Customer and user behaviour, consumption patterns, infrastructure costs, abuse signals, regulatory requirements, and product strategy to adjust what is included in each plan tier, including adding, modifying, limiting, metering, or removing features, quotas, or integrations.

6.3 Notice and buffering. Where practical, we will give advance notice, in-product messaging, email notice, or a short grace period before plan adjustments take effect. We may act immediately without notice where we reasonably consider that necessary — for example for security, abuse, legal compliance, cost control, or urgent error correction. Apart from the refund option in Section 6.4, the absence of notice or buffering does not by itself create a separate claim against MMMX SOLUTIONS COMPANY.

6.4 Refund if you disagree. If you do not accept a plan or feature adjustment applicable to your paid subscription, your sole remedy is to request a refund of prepaid fees for the unused portion of the current billing period (if any), calculated on a reasonable pro-rata basis, by contacting MMMX SOLUTIONS COMPANY within fourteen (14) days of the adjustment taking effect (or within fourteen (14) days of your first invoice reflecting the adjustment, if later). Upon approval of a valid refund request, MMMX SOLUTIONS COMPANY may terminate your subscription effective upon refund. Refunds are not available for periods already consumed, for free trials, or where termination arises from your breach of these Terms. MMMX SOLUTIONS COMPANY may deny refund requests that are duplicative, abusive, or submitted after the stated window.

6.5 Continued use. Your continued use of the Service after a plan adjustment constitutes acceptance of the adjustment, except where you validly exercise the refund remedy in Section 6.4 within the applicable period.

7. Fees and payment

Paid subscriptions are billed in advance according to the plan selected. Fees are non-refundable except as expressly stated in these Terms or required by non-waivable law. You authorise us and our payment processors to charge applicable taxes and recurring fees. Failure to pay may result in suspension or termination.

We may change prices for renewals upon reasonable notice. If you do not agree to a price change, you may cancel before the renewal date; otherwise the new price applies.

8. Intellectual property

MMMX SOLUTIONS COMPANY and its licensors own all rights in the Service, including software, documentation, branding, and underlying technology. Except for the limited right to use the Service during an active subscription or trial, no rights are granted by implication. Feedback you provide may be used by MMMX SOLUTIONS COMPANY without restriction or compensation.

9. Confidentiality

Each party may receive non-public information from the other. The receiving party will protect such information using reasonable care and use it only for purposes related to the Service, except as required by law. This obligation does not apply to information that is public, independently developed, or rightfully received without restriction.

10. Third-party services

The Service works with trusted third parties — payment processors, screening providers, email delivery, hosting, and FX reference data feeds among others. Their terms and privacy practices apply to those components. We integrate them to operate MMMX, but we cannot control every outage or data delay on their side.

11. Reliability, security, and continuity

11.1 Uptime. We design and operate the Service for production treasury work, but cloud platforms share common limits: planned maintenance, infrastructure issues, third-party dependency failures, or events outside our reasonable control can interrupt access or slow processing. A signed enterprise or service-level agreement, if you have one, sets out any enhanced commitments; otherwise availability is on the standard “as available” basis described in Section 12.

11.2 Business continuity. Licensed MSOs usually keep business-as-usual and disaster-recovery plans that do not depend on a single vendor — alternate records, manual approval paths, independent rate sources, and trained staff. We support your operations when the Service is up; when it is not, your existing procedures should carry essential work forward. Questions of compensation for interruption are governed by Sections 12 and 13, not by an implied uptime warranty.

11.3 Security. We describe our security practices in the Privacy Policy and invest in tenant isolation, monitoring, and incident response. Like any SaaS product, MMMX may still be affected by bugs or cyber events (for example unauthorised access attempts, malware, or denial-of-service activity). If we believe an incident affects the platform, we will take steps we reasonably consider necessary to protect customers — which may include temporary access limits, credential resets, specialist support, or service pause — and we will notify affected customers where practicable and permitted by law.

11.4 Backups. Please maintain exports or other copies of Customer Content you need for audit and recovery. We keep limited infrastructure backups to restore the platform itself; those are not a replacement for your own operational archive.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MMMX SOLUTIONS COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.

Without limiting the foregoing, we do not warrant uninterrupted, error-free, or perfectly secure operation, or that balances, reports, Operational Figures, Rate Data, or other outputs will always meet your regulatory or business requirements. Product language such as “real-time” or “live” reflects design intent, not an expanded warranty. You remain responsible for verifying outputs that drive decisions and for the record-keeping and continuity practices described in Sections 3.1 and 11.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • MMMX SOLUTIONS COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR REGULATORY PENALTIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND
  • MMMX SOLUTIONS COMPANY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO MMMX SOLUTIONS COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100) / EIGHT HUNDRED HONG KONG DOLLARS (HK$800).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

14. Indemnification

You will defend, indemnify, and hold harmless MMMX SOLUTIONS COMPANY and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) Customer Content; (b) your use of the Service in violation of these Terms or law; (c) your exploitation of Defects; or (d) disputes between you and your customers, regulators, or counterparties relating to your operations.

15. Suspension and termination

Either party may terminate a paid subscription according to plan terms. We may suspend or terminate your access immediately for breach, non-payment, security risk, legal requirement, or the abuse remedies in Section 4.1 (including without prior notice and without refund where Section 4.1 applies). Upon termination, your right to use the Service ceases. Sections that by nature should survive (including fees owed, IP, disclaimers, limitation of liability, indemnity, and dispute resolution) survive termination.

16. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. The courts of Hong Kong shall have exclusive jurisdiction, except that MMMX SOLUTIONS COMPANY may seek injunctive or equitable relief in any competent jurisdiction to protect its intellectual property, confidentiality, or platform integrity.

Before commencing formal proceedings, the parties will attempt in good faith to resolve disputes through written notice and negotiation for at least thirty (30) days.

17. Changes to these Terms

We may modify these Terms at any time. Updated Terms will be posted with a revised “Last updated” date. Material changes may be notified through the Service or by email. Your continued use after the effective date constitutes acceptance, except where prohibited by law or where you validly exercise refund rights under Section 6.4 for plan-related changes tied to billing.

18. General

These Terms, together with the Privacy Policy, plan descriptions, and checkout terms accepted at purchase, constitute the entire agreement regarding the Service and supersede prior understandings on that subject. If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a corporate transaction.
